Please read these terms and conditions carefully before using insiderIQ.

InsiderIQ is a data service, not an investment adviser. We filter public SEC filings and alert you when they meet our criteria. You use our information at your own risk. We do not manage money, provide personalized advice, or guarantee any results.

1. Agreement

By signing up for InsiderIQ, you agree to these Terms. If you do not agree, do not use the service. InsiderIQ operates as a sole proprietorship based in California.

2. What InsiderIQ Does

InsiderIQ does three things:

• Monitors publicly available SEC EDGAR Form 4 filings
• Applies a quantitative algorithm to score insider purchases
• Delivers qualifying signals by email to subscribers

InsiderIQ also provides a subscriber dashboard showing signal performance data.

3. What InsiderIQ Does Not Do

InsiderIQ does not:

• Give investment advice or make securities recommendations
• Manage money or make trading decisions for you
• Guarantee the accuracy, completeness, or timeliness of any information
• Know your financial situation, risk tolerance, or investment goals

We are not registered as an investment adviser with the SEC or any state securities regulator.

4. No Investment Advice

Nothing we send you is investment advice. This applies to:

All return figures are hypothetical. They do not reflect actual trading results. They do not account for transaction costs, taxes, slippage, or position sizing. Actual results will differ. Consult a licensed financial adviser before making any investment decisions.

5. Data Sources

We do not guarantee the accuracy of data from these sources. Verify any signal against the original SEC filing at sec.gov before acting on it.

6. Email Communications

By subscribing, you agree to receive:

• Real-time insider signal alert emails
• Weekly performance digest emails
• Service update notifications

You can unsubscribe at any time using the link in any email. We will never share your email address with third parties for marketing purposes. We use Resend (resend.com) to deliver email. By subscribing, you accept that Resend processes your email address under their privacy policy.

7. Beta Service

InsiderIQ is in beta. This means:

• The service may experience outages or instability
• Features may change or be removed without notice
• We may modify or discontinue the service at any time

We will notify you of material changes by email.

8. Limitation of Liability

To the maximum extent permitted by California law, InsiderIQ is not liable for any losses arising from your use of the service. This includes trading losses, missed opportunities, or decisions based on our signals.

You use InsiderIQ at your own risk.

9. What You May Not Do

You may not:

• Resell or republish signal data to third parties without written permission
• Use automated tools to scrape data from InsiderIQ
• Present InsiderIQ signals as your own proprietary research
• Use the service in violation of any applicable law

10. Intellectual Property

The scoring algorithm, signal methodology, and software belong to InsiderIQ. The underlying SEC filing data is public domain. You may share individual signals for personal, non-commercial purposes with attribution to InsiderIQ.

11. Ending This Agreement

Either party may end this agreement at any time.

12. Governing Law

California law governs these Terms. Any disputes will be resolved in California courts.

13. Changes to These Terms

We will notify you by email before making material changes to these Terms. Continued use of the service after changes take effect means you accept the new Terms.
